Pomy Ketema is Special Counsel at A.Y. Strauss, LLC. She has over twenty years of experience assisting clients of all sizes with legal entity selection and formation, acquisitions and divestitures, joint ventures and other co-ownership arrangements, reorganizations and recapitalizations, corporate governance, operating and shareholder agreements, and general tax planning.
Pomy has represented buyers and sellers as lead counsel on stock and asset deals, drafting a variety of transaction documents and handling negotiations. In addition, she regularly advises on transaction structure from the tax perspective, often serving as co-counsel to assist with optimization of tax items relating to or embedded in corporate documents. She has a master’s degree in taxation and has supported CFO organizations and tax professionals throughout her career with tax planning, reporting and disclosures.
Pomy’s practice includes the design and implementation of equity incentive compensation plans. She advises on “profits interests”, management and incentive fee arrangements, restricted stock, stock options, and other types of performance-based compensation.
Pomy has represented bank and private lenders and borrowers in credit financing transactions.
Prior to A.Y. Strauss, Pomy practiced at two Am Law 100 firms and a global conglomerate.
